When you contact me, we will agree on how I can best assist you. We will prepare an engagement letter outlining the scope of the legal advice you require. The fee is typically based on an hourly rate.

Terms and Conditions

1. Terms of Business

1.1. These terms of business apply to any assignments you (the client) request Valhøj Law Firm to assist with.

2. Accepance of the Assignment

2.1 Description of the Assignment. Upon accepting an assignment, I will send you a confirmation of receipt along with a description of the scope of work. This ensures clarity on the specific services I will be providing. We may agree that this is not necessary if you are a business client and

  • have already provided a description of the assignment,
  • the assignment is not extensive, or 
  • the matter requires immediate attention, and it would not be practical to agree the details beforehand.

2.2 Conflicts of Interest. In accordance with the rules of the Danish Bar and Law Society and internal procedures, I will check for any conflicts of interest or disqualification upon accepting the assignment. If a conflict or disqualification arises during the course of the matter and I am no longer able to act, I will assist in referring you to another lawyer where possible.

2.3 Client Identification and Anti-Money Laundering. Like all Danish law firms, I am subject to the Danish Anti-Money Laundering Act. This requires me to obtain identification details from new clients, and in some cases from existing clients who have not previously provided such information.

3. Fees and Payment

3.1 Fees. Valhøj Law Firm seeks to charge fees that are reasonable and proportionate to the value and complexity of the matter and the work involved. The goal is always to assign the right level of expertise to each case.

3.2 Fee structure. Fees are primarily calculated based on the time spent on the matter, in accordance with my current rate schedule. In more complex or high-value matters, other factors are also considered, including:

  • the level of specialist knowledge required,
  • the value and importance of the matter,
  • the outcome achieved,
  • the degree of responsibility involved.

These factors align with general Danish legal practice. We will always agree the billing principles in advance.

At the outset, it may be difficult to provide a precise estimate. However, in accordance with the rules of the Danish Bar and Law Society, I will — at your request and always for consumers — provide a reasoned fee estimate along with anticipated disbursements and charges. You will also be informed as early as possible if the total fee is likely to exceed the initial estimate. We can also agree that you will be notified each time fees reach a certain threshold.

3.3 Invoicing. Unless otherwise agreed, invoices are issued upon completion of the matter. For longer-term assignments, invoices may be issued on account at regular intervals, typically monthly. Payment terms are 8 days from the invoice date, and VAT is added in accordance with applicable rules. Late payments will accrue interest in accordance with the Danish Interest Act.

3.4 Advance Payments. Any advance payments for fees, disbursements, or costs will be deposited into a client account at my bank. These funds, including any accrued interest, will be applied toward future invoices unless otherwise agreed. As a rule, I require advance payment for disbursements and costs—and in special cases, for fees.

3.5 Disbursements. In addition to fees, you are responsible for disbursements and expenses incurred in connection with the assignment, such as public fees, duties, travel and accommodation costs, and certain copying or postage expenses. Depending on the amount, I may require advance payment or choose to cover the expense on your behalf.

4. Confidentiality

4.1 I am bound by professional secrecy. Any information received in connection with an assignment is treated as confidential unless it is evident from the context that it is not of a confidential nature.

5. Insider Trading

5.1 I am subject to applicable laws prohibiting the disclosure of inside information about publicly listed companies and restrictions on trading in listed securities, as well as internal policies in this area.

6. Use of Advice

6.1 My legal advice is tailored to the specific matter at hand and may not be used for any other purpose without my prior express consent. Unless otherwise agreed, I am only liable to the client for the advice provided.

7. Client Account

7.1 All client funds are managed in accordance with the Danish Bar and Law Society’s rules. Balances held in client accounts are covered by the general deposit guarantee scheme, with a maximum of EUR 100,000 in case of bank insolvency.

7.2 The maximum coverage applies to the aggregate deposits in the bank, regardless of whether the funds are held in separate accounts, including both client accounts and personal accounts.

7.3 Valhøj Law Firm accepts no liability for loss of client funds due to bank failure.

7.4 Special rules apply for transactions involving real estate, where the guarantee is increased to EUR 10 million for up to 12 months from the deposit date, regardless of whether the funds are split across multiple accounts.

7.6 These rules are relevant because significant funds may be held in the client account during the handling of certain matters.

8. Termination of the Assignment

8.1 As a general rule, I will continue to act until the assignment is naturally concluded or until you request that I stop. However, I reserve the right to terminate the engagement at any time if payment terms are significantly breached despite reminders, or if you become insolvent. I may also withdraw if I no longer find it professionally or ethically appropriate to continue, or if doing so would be in your best interest. You will be notified immediately in such cases.

8.2 Original documents will normally be returned at the end of the assignment, and I will retain the case files for a minimum of five years from the date of the final invoice.

9. Complaints

9.1 If my assistance or fees do not meet your expectations, I encourage you to contact me directly.

9.2 I am subject to supervision and the disciplinary system of the Danish Bar and Law Society and to the rules of professional conduct for lawyers under Section 126 of the Danish Administration of Justice Act. The Code of Conduct for lawyers also applies. These rules can be found on advokatsamfundet.dk.

9.3 If we cannot reach agreement regarding a fee or if you are dissatisfied with my conduct, you may submit a complaint regarding the fee and/or conduct to:

10. Governing Law and Jurisdiction

10.1 Any dispute between you and Valhøj Law Firm shall be governed by Danish law and decided by the competent Danish courts.

11. Liability and Insurance

11.1 I am liable for the legal services I provide in accordance with general principles of Danish law. However, liability is limited as set out in section 11.2. Valhøj Law Firm holds professional indemnity insurance and has provided a guarantee as required by the Danish Bar and Law Society. The insurance covers all legal work, regardless of where it is performed.

11.2 Liability is limited to the insurance coverage maximum of DKK 2,500,000. The total liability towards a client for any one matter shall not exceed this amount. Hence, please note that other claims may reduce the available coverage.

11.3 At the start of a new assignment, you are encouraged to consider whether higher insurance coverage is necessary and inform me accordingly. Additional coverage for the specific matter can be arranged at your expense.

11.4 I am not liable for any indirect or consequential loss, including loss of business, data, profit, savings, goodwill, reputation, or similar losses.
